Consignor agrees to and acknowledges the following terms:
I am the owner of all the above-listed items, free and clear of any debts or liens, and I grant Equine Exchange, LLC (“EE”) the exclusive right to sell the items during the term of this Agreement. I warrant that my items are clean and free from material defects, in at least good, usable condition. I acknowledge that Equine Exchange, LLC (“EE”) is displaying my items on a consignment basis; I will not receive any payment for an item until it is sold.
All items must be pre-approved for consignment by EE management. EE reserves the right to decline or remove any item from sale at any time for any reason. If I leave unapproved items at EE and they are declined by management, or I fail to remove my approved but unsold items within 14 days’ notice from EE, I will be deemed to have abandoned all such items and EE may donate, destroy, or otherwise dispose of such items (even to the FREE BIN) in either case without further liability.
EE does not insure items on consignment and is not responsible for loss, normal wear and tear or any damage that occurs to the items in the normal course of business or as a result of being displayed upon EE’s premises. I release and agree to indemnify and hold harmless EE and EE’s members, employees, successors and assigns from and against any and all liability, loss, damage, causes of action, claims, costs and expenses, including, but not limited to any attorneys’ fees, that are directly or indirectly related to or arise out of my consigned items, unless resulting from greater than ordinary negligence on the part of EE.
Unless otherwise noted, I consent to EE’s determination of the appropriate starting price for my items. If any of my items have not sold within 180 days (6 months) of this Agreement and I do not remove the unsold items from EE, EE may automatically reduce the price by 10%, and by another 10% every other month thereafter.
I have the right to request the removal of my unsold items from EE upon at least two weeks’ advance notice.
The term of this Agreement is one year. If any of my items have not sold within one year of this Agreement and I do not remove the unsold items from EE’s premises within 30 days of expiration of this Agreement, I automatically forfeit the items to EE, this Agreement will serve as a bill of sale proving my transfer of the items to EE, and EE may donate, destroy, or otherwise dispose of such items without further liability.
Payment terms:
I will receive 60% of the sold price (excluding sales tax) as store credit at EE, to be placed in my account promptly after an item is sold. EE will retain 40% of the sold price of the item as a consignment fee.
- Special Exception - I will receive 50% of the sold price (excluding sales tax) by check, to be mailed to me after my item is sold. EE will retain 50% of the sold price as a consignment fee. (THIS OPTION IS ONLY AVAILABLE FOR AN ITEM SOLD OVER $300 AND IF APPROVED BY CONSIGNMENT MANAGER.)
- Special Exception - I will receive 60% of the sold price (excluding sales tax) by check, to be mailed to me within 30 days after my item is sold. EE will retain 40% of the sold price as a consignment fee. (This option is available only to local artists consigning their own work product.)
EE is not responsible for checks once they have been placed with the United States Postal Service. In the case of a lost check, I understand I may opt to wait 90 days for the check to be reissued or pay a stop payment fee of $37 for the check to be reissued promptly.
